The decision in this case was essentially that Musk is the controlling shareholder, so how much the board decides to pay him is reviewable when it wouldn'tbe otherwise (Delaware law!). Then that there was no true negotiation and the extra stock is outside of what was reasonable to pay.

If you have $1MM and can get 10% pa on that money and the bank will lend you $1MM at 3% pa then you're paying them $30,000 / year in interest while making $100,000 / year on the money you actually have. That is $70,000 going in your pocket. Banks will be happy to lend to you because you have the capital for them to chase down if this fails. The whole financial system is built on this so you have a huge number of people with fat stacks all riding on it never coming down. They will burn everything to the ground before trying to fix it (see the 2008 financial crisis for example).
