I don't think the spy was threatening to tell the Spanish anything, she was warning them that Spain already knew that some of the gold had been converted into other assets and that Max hadn't really given them everything. Killing her might have been cathartic but it wouldn't have changed their situation at all.

They were going to just claim the pirates ran off with it until the spy found out it had been commoditized and was still around to be reclaimed. She's not the one who told the Spanish that though, she was telling Rogers that the Spanish had independently become aware of the transactions, and thus that he would not be able to pocket the extra money.
