Adding to what the esteemed Phil Moscowitz, Esq. has said, I think the problem here is that you are focusing on what will happen if no documents are prepared, instead of what the parties want to happen.

Saying "Isn't the transfer of his shares handled through his will," is kind of like saying, "Won't everything be taken care of, because when I die the law will say what happens to my stuff."

The question is, what do the various interests want to happen with the business? What do they want to happen from a tax effect standpoint? When do they want these things to happen? Etc.

Then, when you know those things, you figure out the best way to make those things happen, which may involve the will, may involve a separate buy/sell agreement, may involve a trust, may involve insurance policies, etc.

It's hard to tell from your question, but I think this would mean he needs to set up a buy-sell agreement? Does your client want his shares to actually pass, as we mean it, to his business partner, or is he just trying to make sure his estate gets money instead of his stock while ensuring that his partner is the person to purchase that stock ("pass" it to him)? Because no one's going to want to buy stock of a closely held business except the other partner(s) so you usually make these agreements up front to make sure he doesn't get it at a dramatically low price and the estate doesn't get stuck with useless Corp X stock still included in his gross estate, potentially triggering an estate tax without the liquid assets to help them pay that tax.

As I mentioned about 15 posts ago, I do trust and estate planning. It sounds like he is talking about some kind of right of first refusal or more elaborate plan to make sure his partner has the liquidity to be able to buy him out. One simple plan might be to give the partner the right to buy his shares at fair market value at his death thought the business operating agreement or by laws... Then the partner or the business buys a term life insurance policy (if they need liquidity) on the clients life. This makes sure that the clients heirs get paid out for the shares and prevents the business from having to be sold at fire sale prices.

Usually a big point of discussion is how to value the shares--- appraisal, multiple of earnings, etc.

It sounds like he impersonated an officer of the court in issuing orders. Illinois really doesn't have anything beyond contempt to punish people who do that?

This didn't stop my Undergrad school from asking me for money after I graduated in 2008.

Long time no see, lawgoons.

So, in my escape from law school, I ended up escaping, as you might guess (if you could call it an escape), into paralegal work. I actually really liked criminal defense except I was tired of starving to death so I hied myself off to the "big" PI litigation firm in my tiny town at the time to do workers' compensation work. WC in Colorado is some of the most convoluted rear end poo poo ever, and comes with two bonuses: 1. it is excessively skewed to insurance companies and 2. you are lucky if the clients you get to explain this convoluted rear end poo poo to have a high school education.

Suffice it to say, briefly, that I am at a different firm where the function of the regular job demands and the firm culture (hint: it's loving awful!) are driving me away from this field. Of course, being driven away from this field really should have happened around 2006.

So I am eagerly attempting to escape into a different industry before I implode, or at least go be a dumbass clerk at the court, which would pay more and most certainly be less stressful, even if I ended up with a total rear end in a top hat judge.

In short: don't go, no jobs, drop out, get job, hate job, die alone.
