The wonderfully diverse troops are controlled by magnificently chudly officers, and the officers make the decisions.

Many states require banks to be C-Corporations (similar to how many states require contractors to be S or C-Corporations) even if the IRS/Trump doesn't care, so they wouldn't get the QBI deduction.

that said there are only really two ways to return cash to shareholders without being bought out, dividends and share buybacks, and the tax code prefers that you buy back shares to issue dividends

Assuming the dividends are qualified dividends, they're both taxed the same...? :raise: Unless you mean the fact that you'd have adjusted basis on the redemption of the stock, thereby reducing the taxable income on a given transaction (although it also means that you can no longer get future dividends without buying back into the position).

it's cheaper to return cash through buybacks because dividends are taxed when paid whereas stock whose price goes up because of buybacks (or any other reason) is taxed when sold. which, means that the stock is generaly taxed basically never. most stock is owned by multimillionaires and billionaires who dont need to ever sell most of their stock to buy whatever they want. and for the rest of the top 10% who also own stock they get to pass it down to their heirs, who inherit it at the higher tax basis and generally dodge the estate tax since the amount before an estate is taxed is laughably high

Except that share buybacks are taxed as sales of the stock by the investor back to the corporation, so it's taxed when the buyback occurs, just like when a dividend is paid...?
